1. Who these terms are for
We sell to businesses, not to consumers. By starting a free trial, subscribing or using the software you confirm you are acting for a business and have authority to accept these terms for it.
2. The service
The Subcontractor Desk (“the software”) is an online service at app.thesubcontractordesk.co.uk. A subscription gives the people your company invites access to the desks on your plan, for your company’s own business. It is software only; there are no files to buy and keep, but you can import from and export to Excel at any time.
3. Free trial
A new company gets 30 days free, for up to 5 people. No payment details are needed. When the trial ends without a plan in place, your data becomes read only (see clause 7).
4. Plans and price
Plans are Get Paid, Get Paid with add-on desks, or the Full Suite, at the prices on our website when you subscribe. Each plan includes a set number of office users; more cost £15 a month each. Site users who only record progress, daywork and delays are free. Prices exclude VAT.
Founding firms accepted into the pilot use the software free for 6 months, then pay 40% less than the listed price for as long as their subscription continues without a break.
5. Payment
Monthly plans are paid monthly in advance. Yearly plans are paid yearly in advance and cost ten times the monthly price. We tell you the payment method when you subscribe. If a payment fails and is not made within 14 days of our reminder, we may make your data read only until it is paid.
6. Cancelling and changing plans
You can cancel a monthly plan by giving 30 days’ notice by email; it ends at the end of the month in which the notice period ends. Yearly plans run to the end of the paid year. You can move up a plan at any time; moving down takes effect from your next payment.
7. Your data
Your company’s data belongs to your company. We use it only to provide the software. You can download it at any time, including while it is read only. After a plan or trial ends, your data stays read only for 90 days, then we delete it; backups are cleared within a further 35 days.
We process personal data in your company’s records as your processor, under the data processing terms we provide on request and as described in our privacy notice.
8. What the software does and does not do
The software calculates dates and amounts from the terms and figures you enter, and reminds you of them. It is not legal, tax or accounting advice. Check the terms of each order, and take advice before relying on a payment date, notice or right such as suspension.
9. Availability and changes
We work to keep the software available and your data safe, and back it up, but we don’t promise it will always be available or free of errors. We may improve or change features; we won’t remove a core feature of your plan during a period you have paid for.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Otherwise, we are not liable for loss of profit, revenue, business or data, or for indirect loss, and our total liability in any 12 months is limited to the fees your company paid in that period.
11. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
